Stanificent Commerce Terms Of Service

These Terms of Service (“Agreement”) govern access to and use of STANIFICENT COMMERCE, including all websites, applications, marketplace systems, software systems, digital services, commerce services, subscription services, seller systems, buyer systems, hosting systems, and related services operated under the platform.

STANIFICENT COMMERCE is developed, owned, and operated by STANIFICENT STANIBIZ DIGITAL SYSTEMS AND MEDIA COMPANY LIMITED (“Company”, “Platform”, “We”, “Us”, or “Our”).

By accessing, registering, purchasing, selling, listing, subscribing, using, or continuing to use the platform or any related services, the user (“User”, “Buyer”, “Seller”, “Merchant”, “Vendor”, or “Client”) agrees to be legally bound by these Terms of Service.

The platform may provide services including but not limited to:

2. User Accounts

Users may be required to create accounts to access certain platform features.

Users are responsible for:

  • maintaining account confidentiality,

  • all activities performed under their accounts,
  • providing accurate information,
  • and ensuring lawful platform usage.

The Company reserves the right to:

4. Merchant and Seller Responsibilities

Merchants and sellers are solely responsible for:

  • listed products,
  • pricing,
  • inventory,
  • order fulfillment,
  • product legality,
  • warranties,
  • taxes,
  • customer communication,
  • shipping obligations,
  • uploaded content,
  • and compliance with applicable laws.

Merchants shall not:

  • upload unlawful products,
  • upload counterfeit products,
  • infringe intellectual property rights,
  • publish misleading information,
  • manipulate reviews,
  • perform fraudulent transactions,
  • or misuse the platform.

The Company reserves the right to:

  • remove listings,
  • restrict visibility,
  • suspend merchant accounts,
  • reject products,
  • remove content,
  • hold transactions for review,
  • or terminate seller access

without prior notice where reasonably necessary.


5. Product and Service Listings

Products, services, pricing, descriptions, specifications, images, availability, and promotional materials may change without notice.

The Company does not guarantee:

  • product availability,
  • uninterrupted listings,
  • pricing accuracy,
  • stock consistency,
  • or merchant performance.

The Company may remove or modify listings at its discretion.


6. Payments and Billing

Payments may be processed through:

The Company shall not be liable for:

8. Shipping and Delivery

Certain merchants, businesses, organizations, or users may receive limited administrative access to supported CMS or platform systems for content management purposes.

Administrative access may include:

  • media uploads,
  • customer management,
  • order management,
  • category management,
  • pricing updates,
  • and related administrative functions.

The Company reserves the right to:

  • limit access,
  • suspend access,
  • revoke access,
  • or modify administrative privileges

where necessary for:

  • operational stability,
  • abuse prevention,
  • platform protection,
  • legal compliance,
  • or technical maintenance.

Users remain fully responsible for:

10. Hosting and Infrastructure

Hosting account management, deployment infrastructure, technical systems, backend systems, and platform administration remain under the control and management of STANIFICENT STANIBIZ DIGITAL SYSTEMS AND MEDIA COMPANY LIMITED unless expressly stated otherwise by the Company.

The Company reserves the right to:

  • migrate systems,

  • perform maintenance,

11. SEO, Marketing, and Optimization Services

SEO Optimization, traffic optimization, search engine optimization, indexing assistance, ranking services, marketing services, content optimization, advertising support, and related digital services are separate paid services unless expressly included in an approved package or quotation.

The Company does not guarantee:

  • search engine rankings,
  • sales performance,
  • traffic volume,
  • indexing speed,
  • revenue growth,
  • conversion rates,
  • or business profitability.

12. Intellectual Property Rights

All rights relating to:

  • STANIFICENT COMMERCE,
  • STANIFICENT CMS,
  • proprietary systems,
  • source code,
  • backend systems,
  • deployment systems,
  • software structures,
  • designs,
  • trademarks,
  • logos,
  • platform architecture,
  • automation systems,
  • and related technologies

remain exclusively owned by their respective owners.

Use of the platform does not transfer:

  • source code ownership,
  • software rights,
  • intellectual property rights,
  • framework ownership,
  • or platform ownership

to any user, merchant, seller, or client.


13. Prohibited Activities

Users shall not:

  • engage in fraud,
  • upload malicious software,
  • hack systems,
  • scrape platform data,
  • perform unauthorized automation,
  • manipulate transactions,
  • abuse refunds,
  • impersonate others,
  • upload illegal products,
  • infringe copyrights,
  • publish unlawful content,
  • or interfere with platform operations.

The Company may suspend or terminate access without notice for policy violations.


14. Service Availability Disclaimer

The Company does not guarantee:

  • uninterrupted availability,
  • continuous uptime,
  • permanent platform access,
  • uninterrupted integrations,
  • uninterrupted payment systems,
  • uninterrupted hosting services,
  • or uninterrupted third-party services.

Temporary interruptions may occur due to:

  • maintenance,
  • updates,
  • security incidents,
  • hosting limitations,
  • technical failures,
  • or third-party service disruptions.

15. Limitation of Liability

To the fullest extent permitted by applicable law, the Company shall not be liable for:

  • restrict services,
  • update policies,
  • moderate platform activity,
  • refuse service,
  • or discontinue features

These Terms shall be governed and interpreted in accordance with the laws of the Federal Republic of Nigeria.

18. Acceptance of Terms

Accessing, registering, listing products, purchasing products, making payments, subscribing to services, or continuing to use the platform constitutes full acceptance of these Terms of Service.
