This Terms of Service Agreement (“Agreement”) governs all website services, domain-related services, hosting-related services, web security services, deployment services, maintenance services, and related digital services provided by STANIFICENT STANIBIZ DIGITAL SYSTEMS AND MEDIA COMPANY LIMITED and/or STANIFICENT GLOBAL TECHNOLOGIES LTD (“Company”, “Service Provider”, “We”, “Us”, or “Our”).
By engaging our services, making payment, approving quotations, accepting invoices, using deployed systems, or continuing to use any provided service, the client (“Client”, “Customer”, or “User”) agrees to be legally bound by this Agreement.
1. Scope of Services
The Company may provide services including but not limited to:
- Landing Page Websites
- Business Websites
- Corporate Websites
- eCommerce Websites
- School Websites
- Church Websites
- Hotel Websites
- Real Estate Websites
- Blog & News Websites
- CMS Deployment Services
- Domain Registration Services
- Hosting & Server-Related Services
- SSL & Web Security Services
- Website Deployment Services
- Website Maintenance Services
- Website Migration Services
- Custom Development Services
- Integrated Third-Party Services
- Administrative CMS Access Services
Services may be delivered using:
- STANIFICENT CMS
- Proprietary systems
- Licensed technologies
- Third-party systems
- Custom-developed systems
- Integrated technologies
depending on project requirements.
2. Project Scope and Deliverables
All services shall be limited strictly to the approved quotation, invoice, agreed feature list, written project scope, or officially approved deliverables.
Any request outside the approved scope shall constitute additional work and may attract additional charges, revised timelines, or separate agreements.
The Company reserves the right to determine implementation methods, development architecture, technologies, layouts, rendering methods, frameworks, and deployment structures necessary to deliver the agreed services.
3. Design Interpretation and Visual Expectations
The Client acknowledges and agrees that:
- website appearance,
- artistic interpretation,
- layout presentation,
- design styles,
- visual arrangement,
- spacing,
- styling preferences,
- font rendering,
- responsiveness,
- animation behavior,
- UI interpretation,
- frontend presentation,
- color balance,
- theme behavior,
- and general visual implementation
may vary based on:
- technical limitations,
- device rendering,
- browser behavior,
- framework structure,
- theme architecture,
- performance considerations,
- responsive design adjustments,
- implementation methodology,
- and professional development standards.
The Company’s primary obligation is to deliver the agreed functional features, operational requirements, and approved project scope.
The Client agrees that subjective dissatisfaction relating to personal taste, artistic preference, visual interpretation, or general appearance shall not constitute:
- service failure,
- non-delivery,
- breach of agreement,
- grounds for refund,
- or basis for legal dispute,
provided the agreed features and approved project requirements have been reasonably implemented.
4. Revision Policy
Unless otherwise stated in writing:
- website projects include a maximum of two (2) revision rounds during the development process.
A revision round refers to consolidated minor modification requests relating to existing approved content, structure, or layout.
Revisions do not include:
- complete redesigns,
- business direction changes,
- structural rebuilds,
- additional features,
- additional pages,
- functionality expansion,
- platform migration,
- framework replacement,
- or changes outside the approved project scope.
Additional requests may attract additional charges and revised timelines.
Revisions, requests must be submitted within a maximum period of two (2) weeks from the approved project completion date or website deployment date, whichever occurs first. Requests submitted after this period shall attract additional charges.
5. Domain Services
Where domain services are provided:
- domain registration shall be performed using available registrars selected by the Company,
- domain availability is not guaranteed until successful registration,
- renewal fees apply upon expiration,
- failure to renew domains may result in suspension, expiration, loss of access, or permanent loss of domain ownership.
Where applicable, Clients may receive domain access at the Company’s discretion.
The Company shall not be liable for:
- expired domains,
- registry disputes,
- registrar issues,
- DNS propagation delays,
- third-party registrar outages,
- domain transfer delays,
- or registry-related losses beyond the Company’s direct control.
6. Hosting and Server Management
Hosting account and cPanel remain under the management of STANIFICENT STANIBIZ DIGITAL SYSTEMS AND MEDIA COMPANY LIMITED unless expressly stated otherwise by the Company.
The Client acknowledges that:
- server infrastructure,
- hosting environment,
- deployment systems,
- DNS configuration,
- mail configuration,
- technical backend management,
- and hosting-related administration
shall remain under the operational control of the Company.
The Company reserves the right to:
- suspend services,
- migrate services,
- optimize systems,
- modify server configurations,
- replace hosting providers,
- implement security controls,
- or perform maintenance activities
where reasonably necessary for operational, technical, security, or business purposes.
7. SSL and Security Services
Free SSL activation may be provided as a complimentary service where free SSL services are available at the time of deployment.
The Company does not guarantee:
- uninterrupted SSL availability,
- third-party SSL provider availability,
- permanent SSL validity,
- or uninterrupted external certificate services.
Web security services are provided on a commercially reasonable effort basis.
The Company does not guarantee absolute protection against:
- hacking,
- malware,
- cyberattacks,
- phishing,
- ransomware,
- unauthorized access,
- server breaches,
- DNS attacks,
- software vulnerabilities,
- data interception,
- or third-party compromise.
The Client acknowledges that no online system can be guaranteed to be fully secure at all times.
8. CMS and Administrative Access
For websites requiring CMS functionality, administrative access may be granted to Clients for content management purposes.
Administrative access may include:
- product posting,
- blog posting,
- media uploads,
- page editing,
- category management,
- order management,
- customer management,
- content updates,
- or related CMS functions.
The Client shall be solely responsible for:
- all actions performed using provided credentials,
- uploaded content,
- unauthorized access resulting from credential misuse,
- third-party plugins installed by the Client,
- unlawful content,
- copyright violations,
- data misuse,
- and account security practices.
The Company reserves the right to restrict, suspend, revoke, or limit administrative access where necessary for:
- security,
- operational stability,
- abuse prevention,
- legal compliance,
- or technical protection.
9. Source Code and Intellectual Property
This service does not include transfer of:
- source code ownership,
- software ownership,
- framework ownership,
- system architecture,
- backend systems,
- deployment structures,
- proprietary logic,
- software rights,
- intellectual property rights,
- or related technologies
to the Client.
All rights relating to:
- STANIFICENT CMS,
- proprietary systems,
- integrated technologies,
- custom development frameworks,
- backend systems,
- deployment systems,
- software structures,
- and related intellectual property
remain exclusively with their respective owners.
The Client receives only the limited service usage rights expressly provided under the purchased service.
10. Website Updates and Future Modifications
Website updates, redesigns, content changes, feature additions, migrations, integrations, modifications, and future development requests are separate paid services unless expressly included in the purchased package.
The Company is not obligated to provide free future modifications after project completion.
11. SEO Optimization & Related Digital Services
SEO Optimization, search engine ranking services, indexing services, traffic optimization services, performance optimization services, content optimization services, and related digital marketing or optimization services are separate paid services unless expressly included in the purchased package or quotation.
The Company does not guarantee specific search engine rankings, traffic volume, indexing speed, or business results.
12. Renewals and Expiration
Renewal charges apply after expiration of:
- domains,
- hosting services,
- SSL services,
- maintenance services,
- subscriptions,
- or related services.
Failure to renew may result in:
- suspension,
- service interruption,
- data loss,
- deletion,
- deactivation,
- or permanent removal of services.
13. Limitation of Liability
To the fullest extent permitted by applicable law:
- the Company shall not be liable for indirect,
- incidental,
- consequential,
- special,
- reputational,
- commercial,
- operational,
- or financial losses arising from the use of provided services.
The Client agrees that the Company’s total liability relating to any service shall not exceed the total amount actually paid by the Client for the affected service.
14. Governing Law
These Terms shall be governed and interpreted in accordance with the laws of the Federal Republic of Nigeria.
Any dispute arising in relation to these terms of service agreement shall be subject exclusively to the jurisdiction determined by the Company under applicable Nigerian law.
15. Acceptance of Terms
Payment, project approval, continued usage, deployment acceptance, invoice acceptance, or continued use of any service constitutes full acceptance of this Agreement.
If the Client does not agree with these terms, the Client must discontinue use of the services immediately.
